These Terms apply to the ongoing social media content subscription provided by CactusCan Pty Ltd (trading as ContentMate) to the client. Throughout these Terms, the person or business engaging our services is referred to as the Client.
By commencing the subscription, the client agrees to the following terms.
1. Subscription & Fees
The subscription fee is the monthly amount specified in the applicable Services Agreement or proposal, excluding GST, and is billed monthly.
The subscription includes the delivery of content as outlined in the agreed scope, which may include short-form video and/or photo assets.
Fees are payable monthly via direct debit or recurring card payment (Visa or MasterCard)
By entering into this subscription, the client authorises CactusCan Pty Ltd to charge the nominated payment method on a recurring monthly basis.
2. Late Payment & Suspension of Work
If a scheduled payment fails or an invoice remains unpaid, all work will pause immediately.
No filming, editing, posting, or scheduling will resume until outstanding payments are received in full.
Continued payment failures may result in suspension or termination of the subscription at CactusCan’s discretion.
3. Filming Sessions
The subscription includes up to four hours of filming per shoot, conducted on-site.
Filming sessions are scheduled every four to eight weeks, subject to availability and mutual agreement.
Additional filming time, reshoots, or sessions outside the agreed scope may incur additional fees.
4. Use of Content & Raw Footage
All raw footage remains the sole property of CactusCan Pty Ltd, unless otherwise agreed in writing.
Final edited content supplied under the subscription is licensed to the client for their marketing and promotional use.
Raw footage is not supplied, stored, or retrievable unless purchased under a separate written agreement.
5. Creative Control & Brand Representation
CactusCan will apply reasonable skill and professional judgement to represent the client’s business appropriately and in good faith.
Creative direction, filming style, editing decisions, and technical execution remain at CactusCan’s discretion unless otherwise agreed in writing.
The client is responsible for the accuracy, legality, and compliance of any claims, offers, or statements made in the content.
6. Platform & Public Liability Disclaimer
Once content is published online, CactusCan is not responsible for audience responses or platform activity.
This includes, but is not limited to:
Comments, reviews, or public feedback
Reputational outcomes
Account restrictions, suspensions, or platform penalties
Algorithm changes or reach limitations
The client retains full responsibility for what content is published and how it is used.
7. Availability of Information & Access
The client agrees to provide timely access to locations, staff, and information required to deliver the services.
Delays in access, approvals, or feedback may impact delivery timelines without constituting a breach by CactusCan.
8. Rollovers & Unused Content
Monthly content volumes are based on an average delivery approach.
Unused content is not refundable or transferable unless otherwise agreed in writing.
CactusCan may batch-produce content to maintain efficient production and delivery.
9. Termination
Either party may terminate the subscription with 30 days written notice.
Any fees billed or incurred prior to termination remain payable.
No further work will be completed beyond services already paid for.
10. Limitation of Liability
To the maximum extent permitted under Australian law, CactusCan’s liability is limited to the fees paid for the relevant monthly subscription period.
CactusCan is not liable for indirect, consequential, or economic loss arising from the use of the content.
11. Revisions
The subscription does not include revisions on individual content assets.
Content may be reviewed and discussed in the Client’s monthly review meeting, with feedback applied to future content only.
CactusCan will correct any critical errors at no additional charge, including typos or incorrect names.
Any additional changes or re-edits may be quoted and billed separately.
